Clarification about Applicability of the latest Finance Act 
and other changes for Company Secretaries December, 
2012 Examination

DIRECT TAXES


Direct Taxes applicable for December 2012 Examination shall be Assessment Year 2012-13 (Previous Year 2011-12).

Students are advised to study Finance Act, 2011 for December 2012 Examination. Executive and Professional Programme Students are required to update themselves about all the Circulars, Clarifications, Notifications, etc. issued by the CBDT & Central Government, on or before six months prior to the date of the respective examinations.

INDIRECT TAXES

Students appearing in ‘Executive Programme’ (in the ‘Tax Laws’) and 'Professional Programme' (in the 'Advanced Tax Laws and Practice') respectively may take note of the following changes applicable for December 2012 Examination.

All changes made by the Finance Act, 2012.
All Circulars, Clarifications/Notifications issued by CBEC / Central Government effective six months prior to the date of examination.

Students of Executive Programme may specifically Note that Change as made in Service Tax by Finance Act, 2012 shall be applicable for December, 2012 Examinations.

RBI Guidelines on cheque Books compliant with Cheque Truncation System (CTS-2010) Standards

As per Reserve Bank of India (RBI) guidelines, cheque books being issued by banks need to be compliant with Cheque Truncation System (CTS-2010) standards. This requirement has come into effect from 01 April 2012 for Northern and Southern Regions and for rest of the country from 30 September 2012.
We are pleased to advise that we have been issuing payable at par CTS-2010 Standard compliant cheque books to our customers since March 2012.
The new cheque standard 'CTS 2010' provides a set of minimum security features which would ensure uniformity across all cheque forms issued by banks in the country and also help presenting banks while scrutinising / recognizing cheques of drawee banks in an image-based processing scenario. The homogeneity in security features is expected to act as a deterrent against cheque frauds, while the standardisation of field placements on cheque forms would enable straight-through-processing.
Some of the additional features that have been incorporated in the new cheque forms are:
  1. CTS INDIA watermark in the security paper
  2. Void Pantograph
  3. Bank's Logo printed in Invisible UV Ink
  4. Standardization of the field placement
  5. Micro-lettering
Since RBI is now moving towards accepting only CTS 2010 standard compliant cheques, please note that the old non-CTS 2010 standard cheque forms should not be used post 31 December 2012.
All customers who hold a cheque book issued by the Bank prior to 31 March 2012, are requested to apply for a new cheque book as per the "CTS-2010 standard" at the earliest.

Check Writ petition no 18362 of 2012 Karnataka High court case filed by student Mr S Suhas. HC Slaps ICAI on its Exam ststem & increases 11 marks for Mistakes in the paper & also orders ICAI for Rechecking of the Papers. ICAI has spent lakhs of Rs behind lawyers to fight this case which was ab initio very week for ICAI & Icai & its Council & BOS members knew its weaknesses & mistakes but was 
not ready to accept it on Ego matters for which spent lakhs of Rs behind lawyers. but ultimately lost the case as a slap which it deserved. Similar case is on at Chennai HC & there too ICAI to lose but still spending Lakhs of Rs on Lawyers. Whsoe money it is. Its our Money that they are using down the drains. Also this time too there were Mistakes in the Papers for Both IPCC & Finals. but ICAI least bothered & more interested in setting up EOC at the cost of crores of Rs. but seems losing excellence at the Root Level at what it has to work. Really now feeling Pity for our ICAI & Feel that did a mistake by being a part of ICAI.

NEW SYLLABUS

The quality of syllabus of a profession like ours is the barometer of the quality of its product. In view of deep and diversified operations of Indian corporates and new economic realities, the profile of responsibilities of and expectations from professionals is expanding fast. It becomes, therefore, necessary that the syllabus remains compatible with changing corporate paradigm and expectations of service seekers. It is in this context, the Council of the Institute has approved the new syllabus for Executive and Professional Programmes, which is contemporary in approach and global in perspective. The new syllabus has been given contemporary spirit by incorporating Electives at the Professional Programme level. 

The new syllabus with greater emphasis on due diligence, financial management, compliance management, corporate governance, sustainability and ethics, etc. comprises Seven papers at Executive Programme and Nine papers at Professional Programme level including one Paper to be opted by the students out of five elective papers namely, (i) Banking Law and Practice; (ii) Capital, Commodities and Money Market; (iii) Insurance Law and Practice; (iv) Intellectual Property Rights-Law and Practice; and (v) International Business-Laws and Practice. 

The Council has decided to implement the new syllabus for Executive Programme w.e.f. February 1, 2013 and the Professional Programme w.e.f. September 1, 2013.

EXAMINATION OF BALANCE SHEETS BY ROCs

GENERAL CIRCULAR NO. 37/2012, DATED 6-11-2012
It is considered expedient to issue the following circular for general information.
2. Every company registered under the provisions of the Companies Act, 1956 is required to file its balance sheet annually with the office of the Registrar of Companies within whose jurisdiction the registered office of the company is located. Presently, there are more than 8 lakh companies registered with various offices of the RoCs located all over the country. Balance sheets of all the companies who carry out the filing are available for public inspection on the portal of this Ministry (http://www.mca.gov.in). The underlying idea behind the filing of balance sheets and other documents which require similar filings is to publicly disclose information which reflects various aspects of the working of a company so that the company's public accountability is maintained. It is neither intended nor feasible for the Registrars to scrutinize or verify the contents of filing except on a random basis. Companies and its Directors and officials are liable to be penalized for any incorrect, false or misleading information that such filing disclose. In the following cases, however, the Registrars routinely scrutinize balance sheets:
 (i)  of companies against whom there are complaints;
(ii)  of companies which have raised money from the public through public issue of shares/debentures etc.;
(iii)  in cases where the auditors have qualified their reports.
(iv)  Default in payment of matured deposits and debentures.
(v)  References received from other regulatory authorities pointing out violations/irregularities calling for action under the Companies Act, 1956.
3. After the scrutiny suitable steps are initiated wherever necessary to obtain explanation and clarification and to institute inspections, investigations and prosecutions wherever warranted.

The Depositories,
Dear Sir / Madam,
Sub: Change of Name in the Beneficial Owner (BO) Account
1. In order  to  simplify the procedure of change of name in individual Beneficial
Owner’s (BO) account, it has been decided that an individual BO may be allowed
to change his/ her name, subject to the submission of following documents at the
time of change of name of the individual in the BO account.
i. In case of change in name on account of marriage following documents shall
be submitted:
a. Marriage Certificate or copy of  Passport showing husband’s name or
publication of name change in official gazette.
ii. In case of change in name on account of reasons other than marriage
a. Publication of name change in official gazette.
iii. In case of change in father’s name
a. Publication of name change in official gazette.
2. The Depository Participants (DPs) shall collect the self attested copies of above
documents and maintain the same in their records after verifying with the original
document.
3. The Depositories are directed to
i. implement the above provisions within three months from the date of issue of this circular.
ii. ensure that they will have the system to keep audit trail of the name change in
the BO account similar to that of address change or any other change of coordinates;
iii. make amendments to the relevant Bye-Laws, Business Rules and DP
Operating Instructions for the implementation of the above decision, as may
be applicable or necessary;
iv. bring the provisions of this circular to the notice of the DPs and also to
disseminate the same on their website.
4. This circular is being issued in exercise of powers conferred under Section 11(1)
of the Securities and Exchange Board of India Act, 1992 read with Section 19 of
the Depositories Act, 1996 in the interests of investors in securities

ITR V FOR A.Y. 2010-2011 & 2011-2012 TILL 31ST DEC


EXTENSION OF TIME LIMIT FOR FILING ITR-V FORMS FOR A.Ys. 2010-11 AND
 2011-12
NOTIFICATION NO. 1/2012 UNDER CPR SCHEME 2011 [F. NO. DIT(S)-III/ITR-V EXTENSION/2012-13], DATED 23-10-2012
In exercise of its powers under clause (ii) of Para 14 read with clause (7) of Para 4 of the 'Centralized Processing of Returns Scheme, 2011', issued vide C B D T Notification No. SO 16(E) dated 4.1.2012, the Director General of Income Tax (System) hereby extends the time limit for filing ITR-V forms relating to Income Tax Returns filed electronically (without digital signature Certificate) for A.Y. 2010-11 (filed during F.Y. 2011-12) and for A.Y. 2011-12 (filed on or after 1st April, 2011). These ITR-V forms can now be filed upto 31st December, 2012 or within a period of 120 days from the date of uploading of the electronic return data, whichever is later. This direction is issued to mitigate the hardship and grievance of the tax payers who have been prevented by reasonable causes to file the ITR-V in time.
